These Terms of Service ("Terms") govern your use of this website and the services provided by Vier Global Ventures, a business name registered with the Corporate Affairs Commission (CAC) under Business Name Registration No. BN 9892538 ("we", "us", "our"). By using this website, requesting a quote or making a payment, you agree to these Terms.
1. Our services
We provide professional, scientific and technical services, including technology and software services, technical consulting, and business advisory services. The specific scope, deliverables, timelines and price of each engagement are set out in a written proposal, quotation, invoice or contract ("Agreement"). If an Agreement conflicts with these Terms, the Agreement takes priority.
2. Quotes and estimates
Estimates shown on this website are indicative only and are not an offer or a binding price. A price becomes binding only when confirmed in a written quotation or Agreement. Written quotations are valid for 30 days unless stated otherwise.
3. Payments
- Online payments are processed by Paystack. We do not receive or store your full card details.
- Invoices are payable within 14 days of issue unless the Agreement states otherwise.
- Deposits or advance payments may be required before work starts.
- Prices are quoted in Nigerian Naira (NGN) unless otherwise stated, and are exclusive of VAT and other applicable taxes unless stated.
- Refunds are handled under our Refund Policy.
4. Client responsibilities
You agree to provide accurate information, timely feedback and any access, materials or approvals reasonably needed for us to deliver the services. Delays caused by missing information or approvals may affect timelines and costs.
5. Third-party services
- Some projects rely on third-party services such as hosting, domain names, software licences or payment providers. These are provided under the third party's own terms, and we are not responsible for their availability or performance.
- Where we pay for third-party services on your behalf, the cost is shown in your quotation or invoice.
- You must review deliverables and report any problems in writing within 7 days of handover.
6. Intellectual property
Unless the Agreement says otherwise, ownership of custom software, documents and other deliverables created specifically for you transfers to you once full payment is received. We keep ownership of our pre-existing tools, code libraries, methods and know-how, and grant you a licence to use them as part of the deliverables. The content of this website belongs to Vier Global Ventures and may not be copied without permission.
7. Confidentiality
Both parties agree to keep each other's confidential business information private and to use it only for the purpose of the engagement, except where disclosure is required by law.
8. Limitation of liability
To the extent permitted by law, we are not liable for indirect or consequential losses, including loss of profit, revenue or data. Our total liability arising from any engagement is limited to the amount you paid us for that engagement. Nothing in these Terms limits liability that cannot be limited under Nigerian law.
9. Force majeure
Neither party is responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, government action, strikes, power or network outages or pandemics.
10. Termination
Either party may end an engagement as set out in the Agreement. If an engagement ends early, you agree to pay for work completed and costs already committed up to the termination date.
11. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. The parties will first try to resolve any dispute through good-faith negotiation. If that fails, the dispute may be referred to mediation or to the courts of Lagos State, Nigeria.
12. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Existing Agreements continue on the terms agreed when they were signed.
